- You may not share deliverables with competitors or other businesses
- Waypoint retains ownership of all methodologies, frameworks, and templates
5.4 User Content License
By submitting User Content to our Site (e.g., through contact forms, questionnaires, feedback, or communications), you grant Waypoint:
- A worldwide, non-exclusive, royalty-free license to use, reproduce, and display User Content for purposes of providing services
- The right to create anonymized case studies and use aggregated data for marketing purposes (with your consent)

Premium Membership: Access to all premium articles, courses, interactive tools, and resources. Available at $79/month or $697/year.

6.2 Payment and Billing
All membership payments are processed securely through Stripe. By subscribing to a paid membership:
- You authorize Stripe to charge your payment method at the applicable rate
- All prices are quoted in U.S. Dollars (USD)
- You are responsible for keeping your payment information current
6.3 Auto-Renewal Disclosure
IMPORTANT: YOUR PAID MEMBERSHIP SUBSCRIPTION WILL AUTOMATICALLY RENEW at the then-current rate at the end of each billing period (monthly or annually) until you cancel. You will be charged the applicable subscription fee on each renewal date. You may cancel at any time to prevent future charges (see Section 6.4).
6.4 Cancellation
You may cancel your membership at any time through:
Upon cancellation:
- Your access continues through the end of your current billing period
- No further charges will be applied after cancellation
- You will not receive a refund for the current billing period
6.5 Refund Policy
All digital products and membership subscriptions are non-refundable. You may cancel at any time to prevent future charges, but no refunds will be issued for the current billing period or for any previously completed billing periods. If you are unsure, we recommend starting with a monthly plan before committing to an annual subscription.
6.6 Content License for Members
As a member, you receive a limited, personal, non-transferable, non-commercial license to:
- Access and use membership content for your own business purposes
- Download materials made available for download within your membership tier
You may NOT:
- Share your login credentials with anyone
- Redistribute, resell, or share articles, courses, tools, or other membership content
- Use membership content to create competing products or services
- Systematically download or scrape membership content
6.7 Interactive Tools Disclaimer
Interactive tools and calculators available on the Site produce estimates and outputs for informational purposes only. These tools do not constitute financial, legal, tax, or accounting advice. Outputs are based on the data you provide and general assumptions that may not reflect your specific circumstances. 7. Consulting Services and Engagement Terms
7.1 Website vs. Services Distinction
These Terms govern use of the Site only. If you engage Waypoint Operating Partners for consulting services, a separate Engagement Agreement will govern that professional relationship.
7.2 Service Offerings
Waypoint offers consulting service tiers as described on our Services page, subject to availability and client qualification. Specific scope, deliverables, timelines, and pricing are defined in your Engagement Agreement.
7.3 No Guarantees from Website Content
Information on the Site is for general informational purposes only and does NOT constitute:

- A guarantee of specific results or outcomes
- An offer to provide services or enter into a contract
- Financial, legal, tax, or accounting advice

7.4 Client Qualification

- Refunds are subject to the terms of your Engagement Agreement
8. Disclaimers and Limitations of Liability
8.1 "As Is" and "As Available" Disclaimer

Indirect Damages:
- Indirect, incidental, consequential, special, or punitive damages

- Cost of substitute services or downtime
Even if we have been advised of the possibility of such damages.
Direct Damages Cap: In no event shall our total liability to you for all claims arising from use of the Site exceed $100 USD or the amount you paid us in the past 12 months, whichever is greater.

- Is or becomes publicly available through no fault of ours
- Was rightfully known to us prior to disclosure
- Is independently developed by us without use of your information

- Membership access ends immediately (or at end of billing period if you cancelled)
- Provisions that should survive termination remain in effect (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution)
14. Dispute Resolution and Arbitration
14.1 Informal Resolution
Before initiating formal proceedings, you agree to contact us at advisory@waypointop.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes within 30 days.
14.2 Binding Arbitration
If informal resolution fails, you agree that any dispute arising from these Terms or use of the Site shall be resolved through binding arbitration rather than in court, except as provided below.
Arbitration Terms:
- Arbitration will be conducted by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
- Arbitration will take place in Jackson, Georgia or via videoconference
- The arbitrator's decision is final and binding
- Each party bears its own costs and fees (unless the arbitrator awards costs to the prevailing party)
- You may pursue claims in small claims court if they qualify
14.3 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, COLLECTIVE ACTIONS, OR REPRESENTATIVE PROCEEDINGS.
- Disputes cannot be combined or consolidated with disputes of other users
- Arbitration will involve only individual disputes, not class-wide claims
- The arbitrator may not consolidate multiple parties' claims
14.4 Exceptions to Arbitration
The following disputes are exempt from arbitration and may be brought in court:
- Claims for injunctive or equitable relief to protect intellectual property
- Small claims court actions (within jurisdictional limits)
- Claims that cannot legally be arbitrated under applicable law
14.5 Governing Law
These Terms are governed by the laws of Georgia, United States, without regard to conflict of law principles.
Any court proceedings (for disputes not subject to arbitration) shall be brought in the state or federal courts located in Butts County, Georgia, and you consent to the jurisdiction and venue of such courts.
15. Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time. Changes become effective immediately upon posting to the Site. We will notify you of material changes by:

16.7 Survival

These Terms are written in English. In the event of conflict between English and translated versions, the English version prevails.
